1. Agreement to Terms
These Terms of Use (also called “Terms” or “Terms of Service”) constitute a legally binding agreement between you (“you”, “user”) and TWIN PINES LTD (“we”, “us”, “our”) regarding your use of our mobile applications (including but not limited to BestieAI and Vell) and associated services (collectively, the “App” or “Services”).
By installing, accessing or using the App in any manner, including content, functionality or services offered through the App, you agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference). If you do not agree to all of these Terms, then you must not use the App.
These Terms apply to all users, including those who are browsers, customers, merchants, and/or contributors of content.
We may modify or update these Terms from time to time (for example, when we add new features or comply with new laws). We will provide notice of material changes (for example in‑app notice or via email). Your continued use after changes constitutes acceptance of the updated Terms.

2. Eligibility / Age Requirement
You represent and warrant that:
– You are at least 13 years old (or the minimum legal age in your jurisdiction to use such services).
– If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.
– You have full power, capacity, and authority to enter into this agreement and to abide by all of the terms and conditions herein.

3. License & Access
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the current version of the App for your personal, non-commercial use on a compatible device, solely as permitted by the functionality of the App.
We reserve the right to terminate or suspend your access to the App (or parts of it) at any time for any reason, including if you breach these Terms.

4. Restrictions & Acceptable Use
You agree that you will not:

Use the App in any way that violates applicable laws or regulations.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
Modify, adapt, or hack the App, or insert unauthorized code or change the App’s behavior.
Use the App in a way that interferes with others’ use or functionality of the App.
Use the App to send spam, viruses, worms, malicious or harmful content.
Use the App to infringe copyright, trademark, or other intellectual property rights of third parties.
Use the App for any commercial purpose except via our authorized mechanisms (e.g. subscription purchases).
Misrepresent your identity or impersonate others while using the App.
Share or distribute access (e.g. via resale, rent, or sublicense) beyond what is allowed in these Terms.

Violation of any of the above may result in suspension or termination of your access to the App and possible legal action.

5. Subscriptions & Payments
The App offers certain services or features that require payment via subscriptions.
– Payment is processed through authorized third‑party platforms (e.g. App Store, Google Play, Adapty).
– You agree to provide and maintain valid payment information.
– Subscription fees are non-refundable, except as may be required by applicable law or platform rules.
– Unless you cancel, your subscription will auto-renew at the end of each billing period.
– You may cancel subscriptions via the platform (App Store, Google Play). Cancellation will take effect at the end of the current billing period.
– We may change subscription fees and terms, provided we notify you in advance (e.g. 30 days).

6. Intellectual Property & Copyright
– All rights, title, and interest in and to the App, including its content, features, design, graphics, code, and UI, belong exclusively to TWIN PINES LTD or its licensors.
– You may not copy, reproduce, modify, create derivative works, publicly display, distribute, or sell any part of the App except as expressly allowed under these Terms.
– Any feedback, suggestions, or ideas you provide (“Feedback”) may be used by us without obligation or compensation to you, and you grant us a perpetual, irrevocable, royalty-free license to use such Feedback.
– The copyrights, trademarks, service marks, and logos used in the App are the intellectual property of TWIN PINES LTD (or its licensors). Use of these without permission is prohibited.

7. Disclaimers & No Guarantees
– The App, and all services, content, and materials provided, are “as is” and “as available.” We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
– We do not guarantee the App will be error-free, uninterrupted, secure, or free of viruses or harmful components.
– We are not liable for any loss, damage, or injury arising from use or inability to use the App.
– Use of the App (and AI responses) is at your own risk. You understand and accept that AI-generated replies may be imperfect, inaccurate, or inappropriate in some cases, and should not be considered professional advice.

8. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will TWIN PINES LTD, its officers, directors, employees or agents be liable for any indirect, incidental, special, consequential or punitive damages (including lost profits or data) arising out of or in connection with your use of (or inability to use) the App, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or the App is limited to the amount you have paid (if any) for use of the App during the 3 months preceding the claim, or a minimal statutory amount depending on your jurisdiction (whichever is lesser).

9. Termination
We may suspend or terminate your access to the App (or part thereof) at any time, without notice, if you breach these Terms.
Upon termination, your license to use the App ceases, and you must uninstall the App and stop using it.
Sections relating to disclaimers, limitation of liability, intellectual property, termination, and governing law survive termination.

10. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes (e.g. by in-app notification or email). After changes become effective, your continued use constitutes acceptance of the new Terms. The version with the latest Effective Date supersedes prior versions.

11. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of Cyprus (without reference to conflict-of-law rules).
You agree that any disputes arising from or relating to these Terms will be resolved exclusively in the competent courts of Cyprus.
Nothing prevents either party from seeking injunctive or equitable relief in courts of competent jurisdiction.

12. Severability & Waiver
If any provision of these Terms is held invalid, illegal, or unenforceable by a court, the remaining provisions will remain in full force.
Our failure to enforce a right or provision does not constitute a waiver of that right.
No assignment of these Terms is allowed by you; we may assign or transfer our rights without consent, for example upon a merger or sale.

13. Miscellaneous
These Terms, together with the Privacy Policy and any additional rules or policies published by us, constitute the entire agreement between you and us regarding the App.
If there is a conflict between these Terms and a platform’s terms (e.g. Apple, Google), the platform’s terms may prevail to the extent required.
Headings are for convenience and do not affect interpretation.
You may not transfer or sublicense your rights under these Terms.
